These Terms and Conditions govern access to, browsing, and use of all websites, subdomains, web applications, and digital platforms operated by ActiveOne (including www.activeone.co and https://recruitment.activeone.co) (collectively, the “Platforms”), operated collaboratively by ActiveOne LLC (United States) and its affiliated sister entity under common control, ActiveOne S.A.S. (Colombia) (hereinafter, “ActiveOne,” “the Company,” “we,” or “us”).

Accessing, browsing, registering an account, or interacting with the Platforms constitutes full and unconditional acceptance of these Terms.

1. Website Purpose and Prevalence of Individual Client Agreements (MSA / SOW)

The content published on www.activeone.co is provided solely for general informational, commercial, and promotional purposes regarding ActiveOne's technology consulting, AI-native software development, and specialized engineering staffing capabilities.

CONTRACTUAL PREVALENCE: This Website does not constitute a binding unilateral offer to deliver software engineering services. All specific technical, operational, commercial, and legal terms governing any custom development engagement or talent staffing project —including, without limitation: project scope, deliverables, roadmaps, pricing, guidelines and authorizations for the use of Artificial Intelligence (AI) tools, open source and third-party licensing frameworks, ownership and assignment of Intellectual Property, non-disclosure agreements (NDAs), service level agreements (SLAs), and indemnities— shall be governed strictly and individually by the executed Master Services Agreement (MSA), Statement of Work (SOW), or development agreement entered into between the Client and ActiveOne LLC or ActiveOne S.A.S., as applicable.

In the event of any inconsistency or conflict between the informational content of this Website and the terms of an individual agreement executed with a Client, the provisions of the individual agreement shall prevail in all respects.

2. Specific Terms for Talent Candidates (recruitment.activeone.co)

By registering an account on the ActiveRecruitment platform and applying for engineering opportunities, the candidate agrees to the following:

• Truthfulness of Background Information: The candidate represents and warrants that all statements, credentials, employment history, degrees, technical proficiencies, and repository links submitted are truthful, accurate, and up to date.

• Account Security: Account credentials (username and password) are strictly personal and non-transferable. The candidate is solely responsible for maintaining account confidentiality.

• Technical Assessments & Code of Conduct: The candidate authorizes technical skill assessments, coding exercises, and interviews. Any attempt at academic dishonesty, unauthorized external assistance, automated cheating, or impersonation during technical evaluations will result in immediate disqualification.

• Non-Binding Nature: Account registration, profile evaluation, or passing technical assessments does not constitute a formal job offer or binding employment contract, which only occurs upon execution of a specific written contract between the parties.

• Talent Pool Active Status: Membership in the talent pool remains active while the candidate maintains an account or until an explicit account deletion request is submitted via the portal or emailed to legal@activeone.co.

3. Acceptable Use and Platform Prohibitions

All visitors, candidates, and users of the Platforms agree not to engage in any of the following prohibited activities:

• Cybersecurity Violations: Conduct unauthorized vulnerability scans, penetration testing, security circumvention, or denial-of-service (DoS/DDoS) attacks against ActiveOne infrastructure.

• Algorithmic & AI Protection: Decompile, reverse engineer, disassemble, or attempt to derive the underlying source code, algorithms, models, architecture, or prompts of proprietary tools or AI agents displayed on the Platforms.

• Prohibition of Automated Scraping: Extract, harvest, crawl, or scrape content, job vacancy listings, or candidate profiles through automated bots, scripts, or spiders without express written authorization.

• Information Integrity: Submit falsified information, misrepresent identities, or impersonate third parties in contact forms, booking calendars, or application accounts.

4. Intellectual Property of the Platforms

All intellectual property rights associated with www.activeone.co and recruitment.activeone.co —including graphic design, user interfaces, trademarks, service marks, logos, commercial slogans, technical copy, and proprietary source code— are the exclusive property of ActiveOne or its licensors. Browsing or registering on the Platforms does not grant any license, assignment, or right to use these assets.

5. Third-Party Integrations

The Platforms integrate third-party tools for web analytics (Google Analytics) and scheduling (Google Calendar). ActiveOne disclaims liability for service interruptions, technical errors, or policy changes attributable to the systems of such third-party providers.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ActiveOne shall not be liable for any indirect, incidental, special, punitive, or consequential damages resulting from access to, use of, or technical inability to use the Platforms.

7. Governing Law and Dispute Jurisdiction

Governing law and forum selection depend upon the nature of the legal relationship:

• ActiveOne LLC Matters: Any controversy arising from general website usage or contracts executed with ActiveOne LLC shall be governed by the laws of the State of Delaware, United States, without giving effect to conflict of laws rules.

• ActiveOne S.A.S. Matters: Any controversy arising from local recruitment processes, employment relations, or billing executed with ActiveOne S.A.S. shall be governed by the laws of the Republic of Colombia, subject to the jurisdiction of the ordinary courts of Medellín.
